These terms of use (including referenced documents) are the terms on which you may use (including accessing, browsing, downloading from, uploading to, or registering with) our website www.foundry.com and each webpage thereof operated by us (each a “site” and, together, the “sites”), whether as a guest or a registered user. 

By using a site, you confirm that you accept these terms of use and that you agree to comply with them. If you do not agree to these terms of use, you must not use our sites.

1. OTHER APPLICABLE TERMS

These terms of use refer to our Privacy Notice available at https://www.foundry.com/privacy-notice and Cookie Policy available at https://www.foundry.com/cookie-policy (both as updated from time to time) dealing with our processing of any personal data we collect or you provide. By using a site, you warrant that all data provided by you is accurate.

If you license products through www.foundry.com, our End User License Agreement (“EULA”) available at https://www.foundry.com/eula (as updated from time to time) will apply, in addition to these terms.

2. INFORMATION ABOUT US

www.foundry.com is a site operated by The Foundry Visionmongers Limited ("we" or “us”). We are a private limited company registered in England and Wales under company number 04642027 and have our main trading office at 5 Golden Square, London, W1F 9HT. Our registered office is at Squire Patton Boggs Secretarial Services Limited, Rutland House, 148 Edmund Street, Birmingham, England, United Kingdom, B3 2JR and our VAT number is 945 7013 20.

References to our “Group” means our subsidiaries, our ultimate holding company and its subsidiaries, as defined in section 1159 of the Companies Act 2006.

We may change these terms at any time, and will post updated terms on this webpage. We recommend that you check this webpage from time to time to see the current terms which will be binding on you.

The information on our site is provided for general information only. We may update or change the content at any time, but we are not required to do so. Content may become outdated and we make no commitment to keep it current. While we aim for accuracy, we make no representations, warranties, or guarantees—express or implied—regarding the accuracy, completeness, or timeliness of any content. We do not guarantee that our sites or their contents are free from errors or omissions.

Your continued use of a site after changes have been made means you agree to be bound by these terms and our site as updated and/or amended.

4. ACCESSING AND USE OF OUR SITES

We do not guarantee or warrant that our sites or any content on a site will always be available or will be uninterrupted, or error free, that defects will be corrected or that the server which makes the relevant site available is free of viruses, bugs or other similar cyber related issues. We may suspend, withdraw, discontinue or change all or any part of our sites without notice. We will not be liable to you if, for any reason, a site is unavailable at any time or for any period.

You may only copy, reproduce, republish, download, post, broadcast, transmit or otherwise use our sites' content for your own, personal, non-commercial use (unless such content is explicitly licensed for commercial use, in accordance with the relevant license terms provided with such content). You also agree not to adapt, alter, or create a derivative work from any of the content on our sites, unless it is for your personal, non-commercial use (unless such content is explicitly licensed to permit such use, in accordance with the relevant license terms provided with such content). Any other use requires our prior express consent in writing.

You commit to use the content on our sites only for lawful purposes and in a way that does not infringe the rights of or restrict or inhibit anyone else’s use and enjoyment of the sites. Prohibited behaviour includes, but is not limited to, harassing or causing distress or inconvenience to any person, transmitting obscene or offensive content or disrupting the normal flow of dialogue through a site.

To the fullest extent permitted by law, we expressly prohibit any use of our sites’ content or data (including any associated metadata and any Contributions, as defined in section 7 below) for any machine learning and/or artificial intelligence purposes. This includes, without limitation, training or developing AI/ML models, or using such technologies to generate or combine any data or content from our sites. You are also prohibited from using automated means (such as any robot, spider, site search/retrieval application, or other device to retrieve, index, “scrape,” or “data mine”) to collect content or information from our sites, or from applying or training any artificial intelligence or machine learning technology directly on our sites or their content. We reserve all rights to license any of the content and/or data from our sites, for any such purpose(s).

Although we prohibit certain activities in these terms, we do not make any representation or warranty that the user content you may encounter through your use of our sites, complies with these terms. You understand that by using our sites, you may encounter content (including Contributions) or other material that you may consider to be offensive, indecent, inappropriate or otherwise objectionable, which content (including Contributions) may or may not be identified as having explicit material. If you object to any content (including Contributions) or other material, do not use that content or other material or our sites.

5. YOUR ACCOUNT AND PASSWORD

If you choose, or you are provided with, a user identification code, password, Foundry account or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

We reserve the right to suspend or delete your Foundry account if: (i) we reasonably believe that your account is a risk to our security or system integrity; or (ii) you have not accessed your account or the account has had no network activity for a period of 12 months.

In certain circumstances, and in our sole discretion, we may (but we are not required to) terminate the rights of any user to use our sites, disable any user identification code, password or Foundry account: (a) if, in our sole opinion, such user or Foundry account is in breach of these terms, or any other applicable terms; (b) if, in our sole opinion, such user or Foundry account infringes any IP Rights (as defined in section 6 below); or (c) otherwise, at our discretion, without any liability. Upon termination of your Foundry account, you will lose access to certain aspects of our sites, but all licenses granted, and obligations incurred under these terms, and any other applicable terms, will survive termination.

We may disclose user identity where we have reasonable grounds to believe a valid IP or privacy claim exists, following appropriate verification procedures and subject to applicable privacy law requirements.

6. INTELLECTUAL PROPERTY RIGHTS

Foundry respects the intellectual property rights, including patent rights, copyrights, performers rights, patents, rights in inventions, rights to use and protect confidentiality of confidential information (including but not limited to know-how and trade secrets), trademarks, geographical indications, service marks, trade names, design rights, rights in get up and trade dress, rights related to data, database rights, domains, and all other intellectual property rights wherever in the world arising, in each case: (a) whether registered or not, (b) including any applications to protect or register such rights, (c) including all renewals and extensions of such rights or applications, (d) whether vested, contingent or future, and (e) wherever existing (together, “IP Rights”) of others, and welcomes notification about any content on a site (including Contribution(s), defined in section 7 below) that may be unauthorized.

Subject to the terms relating to Contributions (see section 7 below), we are the owner or the licensee of all IP Rights in our sites, and in the material published on them. That material is protected by applicable copyright laws and treaties around the world. All such rights are reserved.

Our status as the author of content on our sites (and that authorship of any identified contributors of a Contribution(s), in accordance with the relevant license terms) must always be acknowledged.

The names, images and logos identifying us or third parties or respective products or services on our sites are protected by trademarks, copyright and design rights (“Branding”). Nothing contained in these terms confers (by implication, estoppel or otherwise) any license or right for you to use such Branding.

7. CONTRIBUTIONS

If you contribute, upload or post any content, including but not limited to images, artwork, photos, videos or applications (a “Contribution”) to a site (including to the related community pages of www.foundry.com, such as our sharing platform available at https://community.foundry.com/share from time to time):

• you agree to be bound by any additional applicable terms as provided on that site;

• all intellectual property rights, other rights, title and interest in a Contribution will remain your sole and exclusive property but any Contribution will be considered non-confidential; and

• you warrant, in relation to your Contribution, that:

  a) you have all right, title and interest (including but not limited to all IP Rights, as defined in section 6 above) to any Contribution that you upload to a site;

  b) you have the full right and authority needed to grant the rights under any relevant agreement, and no third party rights or consents are required;

  c) in the event that your Contribution contains any biometric or identifiable personal data (or identifies any individual whether by name, picture or otherwise), you have obtained all necessary biometric and personal data rights, consents and permissions from any relevant individuals, as required by applicable law, including, but not limited to, laws relating to the relevant data subject, which are required for Foundry and other users of the relevant site to use that Contribution as applicable, and in order to give full effect to any applicable licenses;

  d) no generative artificial intelligence (AI) tools or software have been used in the creation or development of your Contribution;

  e) your Contribution does not infringe any third-party IP Rights, anywhere in the world, and Foundry’s (or any other user of a site’s) exercise of any applicable rights granted shall not infringe the rights of any third party or conflict with or constitute a breach of any other agreement or arrangements to which any other user is a party;

  f) your Contribution does not contain any (i) back door, time bomb, drop dead device, or any other software routine designed to disable a computer program automatically with the passage of time or under the positive control of a person other than Foundry or (ii) any virus, Trojan horse, worm, or other code or components designed to permit unauthorized access to disable, erase, or otherwise harm software, hardware, or data; and

  g) your Contribution is not pornographic, an inappropriate display of a minor, an advertisement, illegal, libelous, defamatory, or slanderous, and does not advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

Unless otherwise stated, when you upload a Contribution to our sites, you grant Foundry, and all users of the Foundry sites, a license to that Contribution under the BSD 3-clause License (the “BSD-3 License”). This license will instruct other users on how they may use your Contribution, and you will be solely responsible for complying with and enforcing the terms of the license. You agree that we may make your Contribution available to other users, subject to the terms of the license. While we will advise other users of the license, you acknowledge that it is not our responsibility to enforce this license and we have no liability to you in respect of any harm or damage caused by a third party. We cannot guarantee that your license will in fact be observed by other users.

IMPORTANT: This means your Contribution can be used, modified, and distributed by anyone worldwide for any purpose, including commercial use, and such licensor is being asked to comply with the relevant terms of the BSD-3 License, including retaining the required copyright notice, the required list of conditions and the required disclaimer. This license is permanent and irrevocable.

When using a Contribution that has been uploaded by other user(s) to a site, Foundry and all other applicable user(s) of a site may, in accordance with the terms of the BSD-3 License, give attribution credit to the relevant user(s) for their respective Contribution. Any such attribution will be based on the display name (or similar identifier) which the relevant user(s) created for their respective profile when opening a Foundry account. However, neither the name of the copyright holder nor the names of its contributors may be used to endorse or promote products derived from the licensed software without specific prior written permission.

We will not be responsible or liable to any third party, for the content or accuracy of any Contribution posted by you or any other user of our sites. Any views expressed by users on our sites do not represent our views or values.

We have the right to remove any Contribution: (a) if, in our opinion, the Contribution is in breach of these terms, or any other applicable Foundry terms; or (b) otherwise, at our discretion, without any liability to you or any other user of our sites.

You are solely responsible for securing and backing up your Contribution. Foundry is not responsible for lost Contributions or for any errors caused by parsing of or modifying a Contribution. We reserve the right to make minor enhancements to Contributions in order to make the download process easier.

All Contributions made to Foundry’s content sharing platform (available at https://community.foundry.com/share) shall also be subject to the terms and conditions of our Content Sharing Agreement, as updated from time to time.

You shall indemnify, and keep indemnified, and hold Foundry (and its officers, directors, employees, agents, and affiliates) harmless from and against any losses, claims, damages, liability, costs (including legal and other professional fees) and expenses incurred as a result of or in connection with, whether directly or indirectly: (a) any action, demand, claim or proceeding that the use or possession of your uploaded Contribution (or any part thereof) infringes or allegedly infringes the IP Rights of any third party; (b) that the use of any Contribution is in breach of the license(s) referenced herein; and (c) of any breach by you of these terms and conditions and any license terms contained herein, including of any warranty contained herein, whether or not any such liability was foreseeable.

8. CATTERY

The .cat files that we make available via the Cattery (available at https://community.foundry.com/cattery) are all subject to the BSD 3-clause license. We do not certify or approve, nor are we responsible for, the licensing or legal framework to the underlying pre-trained models, associated training data, and dependencies. You are solely responsible for undertaking your own independent investigation of the underlying files, their licensing framework, and determining their suitability, or otherwise, for your intended use(s).

9. LIMITATION OF OUR LIABILITY

All content on our sites is provided “as is” and on an “as available” basis without any representations or any kind of warranty, whether express or implied, including but not limited to warranties of satisfactory quality, fitness for purpose, non-infringement, compatibility, security or accuracy.

We do not exclude or limit our liability for death or personal injury due to our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise and whether direct, indirect or consequential, even if foreseeable, arising under or in connection with use of, or inability to use, a site, or use of or reliance on any content displayed on a site. In particular, we will not be liable for loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings; or loss of business opportunity, goodwill or reputation which may be incurred by users as a result of or in connection with use of our sites or using or downloading any content on it or any website linked to it.

We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of a site or to your downloading of any content on it, or on any website linked to it.

We assume no responsibility or liability for the content of websites linked on our sites. Unless otherwise stated, such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may result from your use of such linked websites.

10. LINKING TO OUR SITE

You may link to the home pages of our sites, provided you do so in a way that is fair and legal and does not misrepresent Foundry, damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link to a site in any website that is not owned by you. Our sites must not be framed on any other website. We reserve the right to withdraw linking permission without notice.

11. VIRUSES

You must not misuse our sites by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our sites, the server(s) on which our sites is/are stored or any server(s), computer(s) or database(s) connected to our sites. You must not attack our sites via a denial-of service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our sites will cease immediately.

12. SUPPLY OF PRODUCTS ON WWW.FOUNDRY.COM

Our EULA together with any additional terms set out in quotations we may provide or invoices we may issue for specific software products are the terms on which we supply and license our software products, to the exclusion of any other terms. Before placing an order for any of our software products, you will be asked to accept the terms and conditions of the EULA. If you do not do so, we will not be able to supply our software products to you.

13. GENERAL

Each paragraph of these terms operates separately. If any of these terms are determined to be illegal, invalid or otherwise unenforceable under the law of any country or state in which they are intended to be effective, then to that extent in the relevant jurisdiction, it or they will be deleted, with all remaining terms surviving, remaining in full force and effect and continuing to be binding and enforceable.

If we discover a pricing error in relation to any of our software products, we will contact you to inform you of it and will give you the option of continuing with the supply of the products at the correct price or cancelling your order. In the event of the incorrect tax being applied in relation to any of our software products, we reserve the right to charge you the correct relevant taxes, or to cancel the order, in our sole discretion.

If we fail to insist that you perform any of your obligations under these terms, the EULA, or any other applicable Foundry terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations.

These terms of use, any contract based on them and any non-contractual disputes or claims are governed by English law and we both agree to the non-exclusive jurisdiction of the courts of England and Wales (or, if you are a consumer, any other applicable UK court).

We shall not be liable for any failure or delay in performance of our sites or our obligations under these terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labour disputes, internet or telecommunications failures, or other force majeure events.

14. CONSUMER RIGHTS

As a consumer, you have statutory and other legal rights in relation to products which are faulty or not as described, and such rights are not affected by anything in these terms.
